These Terms of Service ("Terms") govern your use of The Shepherd ("we," "us," or "our") AI-powered social media growth platform (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

The Shepherd is an AI-powered social media growth platform that provides personalized coaching, content generation, analytics, scheduling, and strategy recommendations across multiple social media platforms. The Service leverages artificial intelligence to analyze your social media presence and offer data-driven insights and content suggestions.

The Service is designed to assist and augment your social media efforts. Results may vary and are not guaranteed. Growth depends on many factors including content quality, consistency, audience dynamics, and platform algorithm changes outside our control.

2. User Responsibilities

By using the Service, you agree to:

  • Provide accurate and complete information when creating your account.
  • Maintain the security of your account credentials and notify us immediately of any unauthorized access.
  • Use the Service in compliance with all applicable laws and regulations.
  • Not use the Service to create, distribute, or promote content that is illegal, harmful, misleading, harassing, defamatory, or infringes on the rights of others.
  • Not attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Not use automated systems (bots, scrapers) to access the Service except through our provided APIs.
  • Comply with the terms of service of any social media platform you connect to The Shepherd.

3. Account Terms

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

You are responsible for all activity that occurs under your account. One person or legal entity may maintain no more than one free account. A single individual may maintain multiple paid accounts for different brands or projects.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

4. Platform Connections and API Usage

The Service connects to third-party social media platforms through their official APIs using OAuth authentication. When you connect a platform:

  • You authorize us to access your platform data as described in our Privacy Policy.
  • You are responsible for ensuring your use of the Service complies with the connected platform's terms of service.
  • We are not responsible for changes to third-party APIs, rate limits, or platform policy changes that may affect Service functionality.
  • You can disconnect any platform at any time through your account settings. Disconnecting a platform will revoke our access to that platform's data.

5. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate content suggestions, strategies, and coaching advice. You acknowledge and agree that:

  • AI-generated content is provided as suggestions only. You are solely responsible for reviewing, editing, and approving all content before publishing.
  • AI-generated content may occasionally be inaccurate, inappropriate, or not aligned with your brand. Always review content before use.
  • You are solely responsible for any content you publish on social media platforms, whether AI-generated or not.
  • Growth strategies and coaching advice are based on data analysis and AI reasoning, but outcomes are not guaranteed.
  • We do not claim ownership of AI-generated content created for you through the Service.

6. Subscription Terms

6.1 Plans and Pricing

The Service offers free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at the time of purchase. Prices are subject to change with 30 days' notice.

6.2 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

6.3 Free Trial

We may offer free trials for paid plans. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

6.4 Cancellation and Refunds

You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for unused portions of a billing period, except where required by law.

6.5 Downgrades

If you downgrade to a lower plan, you may lose access to features and data associated with your previous plan. This may include connected platforms beyond the new plan's limit, scheduled content, and advanced analytics.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, algorithms, documentation, and branding, is owned by The Shepherd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

7.2 Your Content

You retain ownership of all content you create or upload to the Service. By using the Service, you grant us a limited license to process, store, and display your content as necessary to provide the Service.

7.3 AI-Generated Content

Content generated by our AI tools based on your inputs and data is yours to use. You are granted a perpetual, royalty-free license to use, modify, and distribute AI-generated content created through your use of the Service.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate that feedback into the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
  • We are not responsible for any losses resulting from social media platform changes, API disruptions, algorithm updates, or account actions taken by third-party platforms.

9. Indemnification

You agree to indemnify and hold harmless The Shepherd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users or the Service, or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will remain in effect.

11. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

12. Governing Law

  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
